General Terms of Business

1. Purpose

These General Terms of Business (hereinafter referred to as “GTB”) govern the relationship between N.B.C.I.G (hereinafter referred to as “the Company” or “Companies”) and any individual or legal entity acting as a business introducer (hereinafter referred to as “the Introducer”). The Introducer agrees to provide the Company with commercial contacts that may be interested in entering into a contract with the Company. ​ 2. Definitions Business Introducer:

Any individual or legal entity that introduces or connects the Company with one or more potential clients, without participating in the negotiation or conclusion of the contract. Company: N.B.C.I.G, a company registered under number 51340193500012, with its headquarters located in OSTWALD. ​

3. Obligations of the Introducer The Introducer agrees to:

Provide legitimate and credible business contacts. Refrain from participating in the negotiation or conclusion of the contract between the Company and the client(s). Notify the Company of any conflict of interest or situation that could harm the business relationship. Act in accordance with applicable laws and avoid introducing illicit business opportunities. ​

4. Introducer’s Compensation

The Introducer will be compensated in the form of a commission, calculated based on the revenue generated by the Company through the introduced client(s), under the following conditions: Commission Amount: [Percentage or fixed amount], to be agreed upon by the parties. Payment Terms: The commission will only be due and payable to the Introducer after the client has made full payment for the services or products provided by the Company. Payment Timeline: Commission payments will be processed within eight days of the Company receiving the client’s complete payment. ​

5. Exclusion of Commission

The Introducer will not be entitled to any commission if: The introduced contact(s) do not result in a contract with the Company. The client(s) is already known to the Company, is in negotiations, or is already listed in the Company’s database. The contract with the client is canceled or terminated prior to payment. ​

6. Obligations of the Company

The Company agrees to: Handle contacts introduced by the Introducer in good faith. Pay the agreed commission to the Introducer in accordance with the terms specified in these GTB. Inform the Introducer of the outcomes of the business contacts provided. ​

7. Term and Termination Term:

This agreement takes effect upon the Introducer’s acceptance of these GTB and is concluded for an indefinite period. In the event of a serious breach of these terms, the Company reserves the right to terminate the contract without notice or compensation. ​

8. Liability

The Introducer acts as an intermediary and is not responsible for the Company’s services or the behavior of clients. The Company assumes sole responsibility for delivering services to its clients. ​

9. Confidentiality

The Introducer agrees to maintain the confidentiality of any information, documents, or data accessed in connection with the business relationship with the Company. This confidentiality obligation will continue after the termination of the contract. ​

10. Ownership of Contacts

Business contacts introduced by the Introducer remain the property of the Company. The Introducer agrees not to use these contacts for any purpose other than those defined in this contract. ​

11. Governing Law and Jurisdiction

These GTB are governed by French law. In the event of a dispute, the parties agree to seek an amicable resolution before pursuing legal action. If an amicable resolution cannot be reached, disputes will be submitted to the competent courts in STRASBOURG. ​

12. Acceptance of Terms

By agreeing to collaborate with the Company as a Business Introducer, the Introducer accepts these General Terms of Business without reservation.
